Anatoli Labs ("we", "us", "our", "Company") provides the Expresso AI Coming Soon application (the "App", "Service") subject to your acceptance of these Terms of Service ("Terms"). By installing, accessing, or using the App, you ("you", "Merchant", "User") agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE DISCLAIMERS AND LIMITATION OF LIABILITY SECTIONS.

1. Service Description

The App provides AI-powered generation of coming soon pages for Shopify stores. The Service uses artificial intelligence to generate HTML, CSS, and JavaScript content based on user-provided inputs.

2. Acceptance of Terms

By installing or using the App, you acknowledge that:

- You have read, understood, and agree to be bound by these Terms

- You are at least 18 years old

- You have the authority to enter into this agreement on behalf of yourself or your business

- You agree to comply with all applicable laws and regulations

3. Account and Access

3.1 Shopify Account

You must have an active Shopify store to use the App. Your use of the App is also subject to Shopify's Terms of Service.

3.2 Accurate Information

You agree to provide accurate information when using the App and to keep your information current.

4. AI-Generated Content

4.1 Nature of AI Content

⚠️ IMPORTANT DISCLAIMER

The App uses artificial intelligence to generate content. AI-generated content is created by automated systems and may contain errors, inaccuracies, or unexpected results. You acknowledge and understand that:

AI outputs are not reviewed by humans before delivery

Generated content may not meet your exact specifications

Results may vary with each generation

AI systems can produce unpredictable outputs

4.2 Content Review Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

- Reviewing all AI-generated content before publishing

- Ensuring the content is appropriate for your audience

- Verifying accuracy of all generated text and design elements

- Making any necessary edits or corrections

- Approving content for publication on your store

4.3 Prohibited Content

You agree NOT to use the App to generate content that:

- Is illegal, harmful, threatening, abusive, or harassing

- Promotes discrimination, bigotry, racism, or hatred

- Is obscene, pornographic, or sexually explicit

- Infringes on intellectual property rights

- Contains malicious code or harmful scripts

- Violates any applicable laws or regulations

While we implement content filtering, we cannot guarantee that inappropriate content will never be generated. You bear full responsibility for reviewing and filtering content before use.

5. Intellectual Property

5.1 Your Content

You retain all rights to content you provide to the App (logos, images, text inputs). You grant us a limited license to use this content solely to provide the Service.

5.2 Generated Content

Subject to your payment obligations and these Terms, you own the AI-generated content created specifically for your use. However, similar content may be generated for other users.

5.3 Our Intellectual Property

The App, its underlying technology, algorithms, and systems remain our exclusive property.

6. Disclaimers

6.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR COMPLETENESS OF CONTENT
UNINTERRUPTED OR ERROR-FREE OPERATION

6.2 AI Limitations

WE EXPRESSLY DISCLAIM ANY WARRANTY OR GUARANTEE REGARDING:

The quality, accuracy, or appropriateness of AI-generated content
The suitability of generated content for any particular purpose
The accessibility compliance of generated pages (WCAG, ADA, AODA)
The SEO effectiveness of generated content
The compatibility with all browsers or devices
The absence of errors or bugs in generated code

6.3 No Professional Advice

The App does not provide legal, design, accessibility, or professional advice. Generated content should be reviewed by qualified professionals as appropriate.

7. Limitation of Liability

7.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANATOLI LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from:
AI-generated content (including inappropriate, inaccurate, or harmful content)
Accessibility issues or claims (ADA, WCAG, AODA, or any accessibility standard)
Copyright or trademark infringement claims related to generated content
Third-party claims arising from your use of the Service
Any actions taken based on AI-generated content
Service interruptions or failures
Data loss or security breaches

7.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR FIFTY CANADIAN DOLLARS (CAD $50.00), WHICHEVER IS GREATER.

7.3 Basis of the Bargain

You acknowledge that the disclaimers and limitations of liability are an essential basis of the agreement between you and Anatoli Labs, and the Service would not be provided without these limitations.

8. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ANATOLI LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUCCESSORS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM OR RELATED TO:

Your use of the App
AI-generated content published on your store
Violation of these Terms
Violation of any applicable law or third-party rights
Content you provide to the App
Accessibility-related claims or lawsuits
Intellectual property disputes
Customer complaints related to generated content

9. Subscription and Billing

9.1 Fees

Subscription fees are billed through Shopify's billing system. Current pricing is available in the App or on the Shopify App Store listing.

9.2 Trials

Trial periods are provided at our discretion and may be limited in features or usage.

9.3 Refunds

Refund requests are handled according to Shopify's policies. We do not guarantee refunds for dissatisfaction with AI-generated content.

9.4 Usage Limits

Subscription tiers include usage limits. Exceeding limits may require an upgrade.

10. Termination

10.1 By You

You may uninstall the App at any time through your Shopify admin.

10.2 By Us

We may suspend or terminate your access if you:

- Violate these Terms

- Engage in abusive or fraudulent behavior

- Fail to pay applicable fees

10.3 Effect of Termination

Upon termination:

- Your right to use the App ceases immediately

- Published pages remain on your store (you may remove them)

- Your data will be deleted according to our Privacy Policy

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

11.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for any disputes arising from these Terms or the Service.

11.3 Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation by contacting us.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Anatoli Labs regarding the App.

12.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

12.3 Waiver

Failure to enforce any provision does not constitute a waiver.

12.4 Assignment

You may not assign these Terms. We may assign our rights and obligations.

12.5 Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance.
